This Service Agreement is a master template. Each client engagement will be governed by a signed copy of this agreement (or a substantially similar version). The terms below apply unless varied in writing by both parties.

The Service Provider’s total liability to the Client for any loss, claim, or damage arising from this agreement (whether in contract, delict, or otherwise) shall be limited to the total fees paid by the Client for the specific service giving rise to the claim.

This limitation applies even if the Service Provider has been advised of the possibility of such loss.
The Client acknowledges that Legacy Launchpad is not a practising attorney, accountant, or registered tax practitioner. The Client is strongly advised to seek independent professional advice for any legal, tax, or financial matters. Any reliance on information provided by Legacy Launchpad is at the Client’s own risk.
All templates, methodologies, file structures, roadmaps, and proprietary processes developed by Legacy Launchpad remain its property. The Client is granted a perpetual, non‑exclusive, non‑transferable licence to use the deliverables for its own internal business purposes. The Client may not resell, redistribute, or share the deliverables with third parties without prior written consent.
Both parties agree to keep confidential any non‑public information disclosed during the engagement, including but not limited to business strategies, client lists, pricing, and personal information. This obligation survives termination of the agreement.
Either party may terminate this agreement for convenience by giving 14 days' written notice. Upon termination, the Client pays for all work completed up to the date of termination. Legacy Launchpad may terminate immediately if the Client fails to pay any amount due within 30 days of the due date.
This agreement is governed by the laws of the Republic of South Africa. Any dispute shall first be referred to mediation; if unresolved, to arbitration in Johannesburg in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
This agreement (together with the SOW, Quotation, and any attached schedules) constitutes the entire understanding between the parties. No amendment is valid unless in writing and signed by both parties.
IN WITNESS WHEREOF, the parties have signed this Service Agreement.
